1. Acceptance of These Terms

These Terms of Use (“Terms”) are an agreement between you and SimIS, Inc. (“SimIS,” “we,” “us,” or “our”). They govern your access to and use of the SimIS websites that link to these Terms, together with any content and services offered on them (the “Site”). By accessing or using the Site, you agree to these Terms and to our Privacy Statement. If you do not agree, please do not use the Site.

2. About This Site

The Site is provided for general informational and marketing purposes. It describes SimIS, our capabilities, and our work. Nothing on the Site is a promise, offer, warranty, or professional advice, and you should not rely on Site content as the basis for any decision without confirming it with us directly. Any work SimIS performs for a customer is governed by a separate written contract, not by the Site.

3. Accounts and the Employee Portal

The Site includes an employee portal accessed through “My Account.” Access is limited to authorized SimIS personnel and approved users. If you are given portal access, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use. We may suspend or terminate portal access at any time. Use of the portal is also subject to SimIS internal and employment policies.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You will not:

• attempt to gain unauthorized access to the Site, its systems, or any connected network
• interfere with or disrupt the Site, introduce malicious code, or probe or scan for vulnerabilities
• use automated means to scrape, harvest, or collect information from the Site except as permitted by our robots file
• misrepresent your identity or affiliation, or use the Site to transmit unlawful, infringing, or harmful material
• use the Site in a way that violates any applicable law or regulation

We may suspend or restrict access to the Site, or remove content, at any time and without notice.

If you violate these Terms or use the Site unlawfully, we may also pursue any remedies available to us under applicable law, and we may refer conduct we believe to be unlawful to law enforcement.

5. Intellectual Property and Trademarks

The Site and its content, including text, graphics, logos, images, and design, are owned by SimIS or its licensors and are protected by intellectual property laws. “SimIS” and the SimIS logo, along with our product names, are trademarks of SimIS, Inc. We grant you a limited, revocable, non-exclusive license to view and use the Site for your own informational purposes. You may not copy, reproduce, republish, distribute, or create derivative works from Site content without our prior written permission, except for brief quotation with attribution.

6. Third-Party Links, Logos, and Marks

The Site may reference or display the names, seals, and logos of customers, partners, agencies, and other third parties. Those marks belong to their respective owners, and their appearance does not imply endorsement, sponsorship, or affiliation beyond what is stated. The Site may also link to third-party websites that we do not control. We are not responsible for the content, policies, or practices of those sites, and links are provided for convenience only.

7. Social Media

SimIS maintains accounts on social media platforms. Content we post there, and any interaction you have with us on those platforms, is governed by the rules and privacy policies of the platform, not these Terms. References or links to our social media accounts do not place those platforms under our control, and we are not responsible for their content or practices.

8. Export Control Notice

SimIS operates in the defense and federal sector. Information published on the Site is intended to be public and is not intended to include technical data or defense articles controlled under the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulations (EAR). Any export-controlled or otherwise sensitive information is handled separately under the applicable contract and safeguards, not through this Site. You agree not to use the Site in violation of U.S. export control or sanctions laws.

9. Disclaimer of Warranties

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, SimIS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, completeness, reliability, or availability of the Site or its content. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, SimIS and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100) or the amount permitted by applicable law.

11. Indemnification

You agree to indemnify and hold harmless SimIS and its officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site or your violation of these Terms or applicable law.

12. Privacy

Your use of the Site is also governed by our Privacy Statement, which explains how we collect and handle information. Please review it to understand our practices.

13. Copyright Claims (DMCA)

We respect intellectual property rights. If you believe content on the Site infringes your copyright, please send a written notice to our designated agent with the information required under the Digital Millennium Copyright Act, including identification of the work, the material you claim is infringing, your contact information, and a statement of good-faith belief.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. You agree that the exclusive venue and jurisdiction for any dispute arising out of or relating to these Terms or the Site is the state and federal courts located in or near Suffolk, Virginia, and you consent to the personal jurisdiction of those courts. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and changes take effect when posted. Your continued use of the Site after changes are posted means you accept the updated Terms.
